Coffeehouse Terms – Quick Summary

Welcome to Coffeehouse!

Here’s what you need to know, in simple terms 👇

  • Who we are: Coffeehouse is built and operated by Coffeehouse Communications OÜ, based in Tallinn, Estonia.
  • Age requirement: You must be 16 or older to use the app.
  • Your account: Keep your login details safe. You’re responsible for what happens under your account.
  • Your content: You own what you post. We can only show and distribute it to run Coffeehouse and help people discover it.
  • Coins / Tokens / Points: These are in-app digital items, not real-world currency. You can spend them in Coffeehouse, but they can’t be cashed out (except for approved creator payouts).
  • Payments: When you buy Coins or other digital items, they’re delivered instantly and can’t be refunded unless the law says otherwise.
  • Creators: If you launch a Token, you can earn revenue from your fans. Payments go through trusted providers such as Stripe.
  • Moderation: We want Coffeehouse to stay respectful. If content breaks our rules or the law, we can remove it or suspend accounts — but you’ll always have a right to appeal.
  • Your rights: You have the same consumer and privacy rights guaranteed under EU law.
  • Legal home: Coffeehouse follows Estonian law, but EU users can also rely on the laws of their own country.

These Terms of Service (“Terms”) govern your use of the Coffeehouse mobile application, website, and related services (collectively, the “Service”) operated by Coffeehouse Communications OÜ (“Coffeehouse”, “we”, “our”, or “us”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 16 years old to use Coffeehouse. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3. User Accounts and Conduct

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You agree not to:

  • Use the Service for unlawful or harmful activities.
  • Post or distribute content that infringes intellectual property or violates third-party rights.
  • Attempt to hack, reverse engineer, or disrupt the Service.

Coffeehouse may suspend or terminate accounts that violate these Terms.

4. Content Ownership and License

You retain ownership of all content you create or post on Coffeehouse.

By posting content, you grant Coffeehouse a non-exclusive, worldwide, royalty-free, and revocable license to host, display, and distribute your content for the purposes of operating and promoting the Service.

This license ends when your content is deleted, except that we may retain backup copies as required by law or for legitimate business purposes.

5. Digital Assets and Creator Economy

The Service includes a closed, proprietary digital economy made up of Coins, Creator Tokens, and Points.

These features exist only within Coffeehouse and are provided solely for entertainment and engagement.

They are not currency, securities, or financial instruments, and hold no real-world monetary value outside the platform.

5.1. Non-Financial Disclaimer

Coffeehouse is a social media and entertainment platform, not a financial institution, exchange, or brokerage.

All digital assets within Coffeehouse are for in-app utility and community interaction only, such as unlocking creator content or sending virtual gifts.

They do not represent ownership, investment, or profit opportunities, and must not be treated as financial products or property of any kind.

Coffeehouse does not provide investment advice. Users should be aware that the 'value' of Creator Tokens is purely functional and gamified; it can decrease and Coins spent on Tokens may be lost if a Creator becomes inactive or is removed from the platform.

5.2. Coins (Virtual Currency)

  • Acquisition: Coins are a consumable in-app currency that users may purchase only through authorized channels (e.g., App Store or Google Play in-app purchases).
  • Use: Coins may be spent on in-app actions such as sending Gifts, purchasing Tokens, or accessing premium content.
  • No Cash Value: Coins cannot be exchanged, redeemed, or converted to real money, cryptocurrency, or goods outside the Service.
  • Final Sale: All purchases of Coins are final and non-refundable, except where required by applicable consumer law.

5.3. Creator Tokens

Creator Tokens are digital access passes purchased using Coins. They allow users to join a Creator’s token-gated channels or unlock exclusive content.

Token availability and price changes are part of the gamified engagement system inside Coffeehouse and do not imply any monetary or investment value.

Any ability to resell or transfer Tokens for Coins is a closed-loop, in-app function that exists purely for entertainment and user experience.

The price of Tokens is determined by an automated internal algorithm (bonding curve). Coffeehouse is not liable for fluctuations in Token pricing or temporary technical unavailability of the purchase/sale function.

5.4. Creator Monetization and Payouts

  • Creator Earnings: Coffeehouse may provide monetization tools enabling Creators to earn revenue from Tokens, Gifts, or paid content.
  • Payment Processing: Payouts are made through trusted third-party services (e.g., PayPal). Coffeehouse is not liable for delays, errors, or exchange-rate differences caused by these providers.
  • Business Relationship: Payouts are considered business-to-business (B2B) transactions between Coffeehouse and the Creator for digital services provided on the platform.
  • Taxes: Creators are solely responsible for reporting and paying any taxes associated with their earnings.

5.5. Risk of Loss

Users are responsible for maintaining the security of their accounts and devices.

Coffeehouse is not responsible for the loss, theft, or unauthorized use of any digital assets (Coins, Tokens, or Points) resulting from:

(a) a user’s failure to secure their credentials, or

(b) unauthorized access to their account.

6. Purchases and Refund Policy

Purchases of Coins or other virtual assets are final and non-refundable, except where required by applicable law.

By purchasing digital content, you acknowledge that delivery begins immediately and that you thereby waive your statutory right of withdrawal under EU consumer law.

Coins Purchases are subject to platform fees (including App Store/Google Play commissions and a Coffeehouse service fee) as detailed in our Virtual Items Terms & Conditions.

7. Creator Earnings and Payments

Creators may earn revenue from Tokens fees, Gifts, or other in-app monetization features.

Payouts are processed via third-party providers (such as Stripe, PayPal etc...).

Coffeehouse is not liable for delays, errors, or currency fluctuations in third-party payment processing beyond its control.

We reserve the right to withhold or suspend payouts in cases of fraud, Terms violations, or legal obligations.

For Creators to receive payouts, they must complete all required Identity Verification (KYC) and tax documentation (including DAC7 and W-8/W-9 forms where applicable). Coffeehouse reserves the right to withhold payments if such documentation is not provided.

8. Content Moderation and Account Termination

Coffeehouse may remove content or suspend accounts that violate community guidelines or legal requirements.

Where required by the EU Digital Services Act (DSA), users will receive notice and an opportunity to appeal moderation decisions through the in-app process.

Users have the right to appeal moderation decisions for a period of at least six months following the decision. We will process appeals through our internal system and, where applicable, you may also seek out-of-court dispute settlement.

9. Intellectual Property

All trademarks, logos, and intellectual property associated with Coffeehouse remain the exclusive property of Coffeehouse Communications OÜ.

You may not copy, distribute, or modify any part of the Service without our prior written consent.

10. Liability and Disclaimers

The Service is provided “as is” and “as available”.

To the fullest extent permitted by law, Coffeehouse disclaims all warranties of any kind, whether express or implied.

We do not guarantee uninterrupted or error-free operation.

Nothing in these Terms limits or excludes any statutory consumer rights you may have under applicable law.

11. Limitation of Liability

To the maximum extent permitted by law, Coffeehouse and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Coffeehouse, its directors, employees, and partners from any claims or damages arising from your use of the Service or violation of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia.

If you are a consumer residing in the European Union, you may also bring legal proceedings in your country of residence under applicable consumer protection laws.

14. Updates and Modifications

We may update these Terms from time to time.

Material changes will be notified at least 14 days in advance.

Continued use of the Service after updates constitutes acceptance of the new Terms.

15. Severability and Assignment

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full effect.

Coffeehouse may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
